Change the base for it to look less like a Goku edit. Spiderman is in a tight bodysuit, and he's slender and muscular, so it should be visible.
Also, the appearing frame, and you must remove the flagrant Goku edit. And, I know you mentined shading, but the red parts still need the spiderweb effect. And maybe darker colors.

The shading/depth might contribute to that; It's hard to distinguish where they are

Shading would be nice. Also, his pose at the end looks really weird. Why is he flipping me off?

Because it doesn't accomplish much other than the fact it's another edited JUS sprite. The base used for Spider-Man is Goku. The style has been so overused in the McleodGaming sprites corner that it's not even popular anymore. I'm not saying JUS is a bad thing but next time: Try something more along the lines of a custom sprite style. To be honest, the Spiderman sprite animation is pretty good but there are still issues on the last frames of the sprite that still need to be tackled when you think about it.

JUS has been overused everywhere ever. It's not a bad style but 'JUS edits' (usually goku edits) have become so common that it's boring the crap out of literally everone bar the JUS spriters themselves. JUS edits cling way to much to what is already made and do not venture into anything new. Motions are usually choppy (because motion blurs replace actual motion etc.) and/or are obvious edits. I'm not saying all JUS spriters and their work are bad, but the style has been put in a very negative spotlight by those who actually are (and there are a lot of 'em). If you want to impress people, JUS is not the way to go.
As for the animation; it's no good. When he falls off his web and goes into his stance; it's choppy. The web looks like it's in a different style. The battle stance does not resemble the Marvel vs. Capcom stance whatsoever. I think a lot of these problems were caused because you used parts of JUS sprites.
Although editing sprites is a good way to get the hang of things, I would suggest starting with something easier next time. Maybe edit something from a completely different style.
