You should probably get CS3. I'm not 100% sure if this belongs here though...

I have both but I use Flash CS3, however Flash 8 is pretty much the same and in fact has a few less things that annoy me. For example:

- CS3 sometimes changes the function of the Control key to the Magnifier for no reason - and being someone who uses the Ctrl key a lot this is very annoying.

- CS3 doesn't let you browse the library by just typing a key so that it jumps to the section in the library where the names starts with the letter you press - it only works if there isn't a shortcut key associated with one of the tools already.

- Sometimes after viewing your work using Ctrl+Enter then closing it, some of the panels disappear and you have to click the little arrows that hide them usually twice to bring them back.

- Sometimes when viewing your work using Ctrl+Enter and when not viewing them in tabs but windows instead - the panels overlap the actual window when out of focus.

Apart from them its pretty much the same, I never use AS3 so there's no difference in that I can use AS2 on both. If I were you I'd go for the cheapest option of the two, but if money isn't a problem then you might as well go for the most expensive.
